This Vendor Agreement ("Agreement") governs the relationship between vendors ("Vendor", "Seller", or "You") and Olaikin Shopping ("Platform", "Company", "We", "Us", or "Our") regarding the use of the Olaikin Shopping marketplace to list, sell, and deliver products to customers.

By registering as a vendor or listing products on the Olaikin Shopping website or mobile application, you agree to comply with the terms of this Agreement.

1. Nature of the Platform

Olaikin Shopping operates as an online multi-vendor marketplace that connects independent vendors with customers.

Olaikin Shopping:

  1. Does not manufacture, own, store, or ship vendor products
  2. Does not act as the seller of products listed by vendors
  3. Does not control or manage vendor inventory

Each vendor acts as an independent seller responsible for the products they offer and the fulfillment of orders placed through the platform.

Nothing in this Agreement creates a partnership, joint venture, agency relationship, or employment relationship between the Vendor and Olaikin Shopping.

2. Vendor Eligibility

To sell on Olaikin Shopping, vendors must:

  1. Provide accurate business or personal identification information
  2. Provide valid contact information
  3. Comply with all applicable laws and regulations related to selling goods
  4. Maintain an active vendor account in good standing

Olaikin Shopping reserves the right to approve, reject, or suspend vendor accounts at its sole discretion.

3. Vendor Responsibilities

Vendors are solely responsible for:

  1. The accuracy of product listings
  2. Product quality and authenticity
  3. Inventory management
  4. Order fulfillment and shipping
  5. Customer communication related to orders
  6. Compliance with applicable laws and regulations

Vendors must ensure that all information provided on product listings is truthful, clear, and not misleading.

4. Product Listings

Vendors may list products for sale on the platform subject to the following requirements:

  1. Products must be legal to sell and distribute
  2. Product descriptions must accurately represent the item being sold
  3. Images must accurately reflect the product
  4. Pricing must be transparent and not deceptive

Olaikin Shopping reserves the right to remove or modify listings that violate platform policies.

5. Order Fulfillment and Shipping

Vendors are responsible for processing and delivering orders placed through the platform.

Vendors may fulfill orders by:

  1. Delivering the items themselves
  2. Using their own delivery personnel
  3. Using third-party delivery providers

Vendors must follow the Vendor Shipping Requirements Policy and ensure timely order processing and delivery.

Olaikin Shopping does not participate in or manage shipping or logistics operations.

6. Fees and Commissions

Vendors agree to pay any applicable platform fees or commissions associated with sales made through Olaikin Shopping.

The applicable fee structure may include:

  1. Commission on completed orders
  2. Service or platform fees
  3. Payment processing fees (if applicable)

Olaikin Shopping reserves the right to update or modify its fee structure with reasonable notice to vendors.

7. Payments

Payments for orders processed through the platform will be handled according to the payment system implemented by Olaikin Shopping.

Vendors agree that:

  1. Payments may be subject to processing timeframes
  2. Adjustments may occur in cases of refunds or disputes
  3. Olaikin Shopping may temporarily hold payments in cases of suspected fraud or policy violations

8. Customer Service

Vendors must provide reasonable customer support related to:

  1. Product inquiries
  2. Order issues
  3. Shipping concerns
  4. Returns or refunds (if applicable)

Vendors must respond to customer inquiries within a reasonable timeframe.

9. Prohibited Activities

Vendors must not:

  1. Sell illegal, counterfeit, or prohibited goods
  2. Provide misleading product information
  3. Manipulate reviews or ratings
  4. Circumvent platform systems for payments or transactions
  5. Engage in fraudulent or deceptive practices

Violation of these rules may result in account suspension or termination.

10. Vendor Compliance with Laws

Vendors are responsible for complying with all applicable laws related to:

  1. Product safety
  2. Consumer protection
  3. Import and export regulations
  4. Taxes and duties
  5. Business licensing requirements

Olaikin Shopping is not responsible for ensuring vendor compliance with these laws.

11. Platform Liability

Olaikin Shopping operates solely as a technology platform facilitating transactions between vendors and customers.

Olaikin Shopping is not responsible or liable for:

  1. Product quality or safety
  2. Vendor fulfillment practices
  3. Shipping delays or delivery failures
  4. Disputes between vendors and customers
  5. Loss or damage caused during shipping

All liability related to the sale and delivery of products rests solely with the vendor.

12. Account Suspension or Termination

Olaikin Shopping reserves the right to suspend or terminate vendor accounts for reasons including but not limited to:

  1. Violation of this Agreement
  2. Fraudulent activity
  3. Repeated customer complaints
  4. Failure to fulfill orders

Upon termination, the vendor’s listings may be removed from the platform.

13. Modifications to the Agreement

Olaikin Shopping may update or modify this Vendor Agreement from time to time.

Vendors will be notified of significant changes, and continued use of the platform after such updates constitutes acceptance of the revised terms.

14. Governing Law

This Agreement shall be governed by and interpreted in accordance with the laws applicable in the jurisdiction where Olaikin Shopping operates.
