These Terms and Conditions ("Terms") govern access to and use of the Olaikin Shopping Ltd platform ("Olaikin", "we", "us", or "our"), including our website and mobile applications (the "Platform"). The Platform operates as a multivendor online marketplace serving Trinidad and Tobago and is designed to help small and medium‑sized businesses sell to customers nationwide.

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.

1. Definitions

1. Buyer / Customer: Any individual or entity that purchases or attempts to purchase products or services through the Platform.
2. Vendor / Seller: Any individual or business that lists and sells products or services on the Platform.
3. Content: Any information, text, images, listings, or materials uploaded to the Platform.

2. Marketplace Role

Olaikin Shopping Ltd operates solely as a facilitator of transactions between Buyers and independent Vendors.

1. Olaikin does not own, manufacture, stock, or directly sell products listed on the Platform (unless expressly stated).
2. Contracts for sale are formed directly between the Buyer and the Vendor.
3. Olaikin is not a party to the transaction and is not responsible for vendor performance, product quality, or fulfillment.

3. Account Registration

3.1 General

1. Users must provide accurate, current, and complete information when creating an account.
2. Users are responsible for maintaining the confidentiality of their login credentials.
3. Users must be at least 18 years old or have legal capacity to enter binding agreements.

3.2 Account Suspension or Termination

Olaikin reserves the right to suspend or terminate accounts that violate these Terms, applicable laws, or platform policies.

4. Terms for Buyers

4.1 Orders and Payments

1. Prices, availability, and descriptions are set by Vendors.
2. Payments are processed through third‑party payment providers.
3. Buyers agree to pay all applicable charges associated with their purchases.

4.2 Refunds and Returns

1. Refund and return policies vary by Vendor.
2. Buyers are strongly encouraged to review Vendor refund and return terms and ask questions before purchasing.
3. Olaikin does not guarantee refunds or returns.

4.3 Buyer Responsibilities

Buyers agree to:

1. Provide accurate delivery and contact information
2. Communicate respectfully with Vendors
3. Use the Platform lawfully and in good faith

5. Terms for Vendors

5.1 Vendor Eligibility

Vendors must:

1. Be legally registered or authorized to conduct business in Trinidad and Tobago
2. Provide accurate business, tax, and contact information
3. Comply with all applicable laws and regulations

5.2 Listings and Content

Vendors are responsible for:

1. Accurate product descriptions, pricing, and images
2. Ensuring products are lawful, safe, and compliant
3. Updating listings to reflect availability

5.3 Orders and Fulfillment

1. Vendors are solely responsible for order fulfillment, delivery, and customer service.
2. Vendors must honor their stated refund and return policies.

5.4 Prohibited Conduct

Vendors must not:

1. List illegal, counterfeit, or restricted items
2. Misrepresent products or pricing
3. Engage in fraudulent or deceptive practices

5.5 Fees and Payments

1. Olaikin may charge platform fees, commissions, or subscription fees as disclosed separately.
2. Vendor payouts are subject to payment processor timelines and any applicable deductions.

6. Cancellations and Account Deletion

1. Users may request account deletion in accordance with Olaikin’s Cancellation and Account Deletion Policy.
2. Outstanding transactions or legal obligations may delay deletion.

7. Intellectual Property

1. The Olaikin name, logo, and Platform content are the property of Olaikin Shopping Ltd.
2. Users grant Olaikin a non‑exclusive license to use uploaded content for platform operations and marketing.

8. Limitation of Liability

To the fullest extent permitted by law:

1. Olaikin is not liable for losses arising from Buyer‑Vendor transactions.
2. Olaikin is not responsible for indirect, incidental, or consequential damages.

9. Indemnification

Users agree to indemnify and hold harmless Olaikin Shopping Ltd from claims arising out of their use of the Platform, violations of these Terms, or interactions with other users.

10. Governing Law

These Terms are governed by the laws of the Republic of Trinidad and Tobago.

11. Changes to Terms

Olaikin may update these Terms from time to time. Continued use of the Platform constitutes acceptance of the revised Terms.
